Shell Sells Entire Gas Station Network in Indonesia to Citadel Pacific-Sefas Group

TEMPO.CO, JakartaShell has announced the sale of its entire network of gas stations in Indonesia to a joint venture formed by Citadel Pacific Limited and Sefas Group Indonesia. The transaction, disclosed in an official statement on Friday, May 23, 2025, includes around 200 gas stations, 160 of which are directly owned by Shell.

According to Shell Indonesia, the deal marks the company's exit from the retail fuel business in the country. The agreement follows Shell’s ongoing efforts to review and streamline its global operations.

Citadel Pacific, one of the acquiring parties, is a private holding company based in the Philippines. It is currently the Shell brand licensee in various Asia-Pacific territories including Guam, Saipan, Macao, Palau, and Hong Kong. The company is jointly owned by the Delgado family of the Philippines and the Ontario Teachers’ Pension Plan of Canada. Its business interests span sectors such as telecommunications, energy distribution, commercial property, and aviation services.

Sefas Group, the other party in the joint venture, is an Indonesian company that has partnered with Shell for several years. Founded in 1997 in East Kalimantan, Sefas initially focused on distributing Shell lubricants to the mining sector.

It has since expanded into broader energy distribution and logistics services across Indonesia. The company operates through over 20 offices and warehouses nationwide and manages several subsidiaries involved in lubricants, renewable energy, and industrial supply chains.

One of its subsidiaries, PT Cahaya Samoedera Bersaudara, is noted as the largest distributor of Shell Marine products globally, servicing more than 600 ports in 40 countries.

Shell did not disclose the value of the transaction, and regulatory approvals related to the sale have not yet been detailed.

The company stated that it remains committed to other areas of its business in Indonesia, including the marketing of lubricants and upstream operations.
