GOTO to Seek Shareholders' Approval for Rp3.3tn Share Buyback This Month

TEMPO.CO, Jakarta - PT GoTo Gojek Tokopedia Tbk. (GOTO) plans to seek shareholder approval for a Rp3.3 trillion share buyback, according to Director Simon Tak Leung Ho. The proposal will be presented during a general meeting of shareholders scheduled next Wednesday, June 18.

If approved, the buyback program will run for 12 months, from June 19, 2025 to June 18, 2026. "The company will submit a proposal to shareholders to approve the share repurchase plan," Simon stated in a disclosure to the Indonesia Stock Exchange (IDX), Tuesday, June 10.

Simon explained that the buyback would give management greater flexibility in managing capital, including optimizing the capital structure and supporting potential future initiatives, such as employee and management stock ownership programs. "The share repurchase may also enhance shareholder value by enabling more efficient use of excess capital," he said.

GOTO Corporate Secretary R.A. Koesoemohadiani previously clarified that the funding for the buyback will not come from public offerings or loans. The number of shares to be repurchased will not exceed 10 percent of the company's issued and paid-up capital.

" "This includes treasury shares already held by the company," she said in a disclosure on May 12, 2025. GOTO currently holds 27,796,417,803 treasury shares, or 2.33 percent of its issued and paid-up capital.

The buyback will be conducted both on and off the Indonesia Stock Exchange. GOTO has appointed PT Ciptadana Sekuritas Asia to carry out the transaction. Koesoemohadiani said the buyback will not affect the company's business operations "as the company has sufficient working capital to continue its business activities."
